Position Summary: The Associate Chief Counsel Transactional will manage day-to-day legal aspects of specified transaction matters of the company. They will provide advice and guidance to corporate and property management, and to the other attorneys supporting various business units. They will act as lead attorney on sophisticated M&A transactions, joint venture formations, business development transactions, and financing transactions. They will also act as lead on day-to-day Securities and Exchange Commission filings and other corporate governance matters. Attorney should have 5-10 years of experience as a corporate transaction generalist, with experience as lead attorney on sophisticated M&A transactions, joint venture formations, business development transactions, and financing transactions. Hospitality industry experience not required. Experience in licensing transactions desired but not required. Strong law firm background is required provided the candidate has a broad transactional experience (i.e. not overly specialized in any certain area). In-house experience is helpful if it has included leading roles on transactions in a growth-oriented company. Strong drafting and negotiating skills are required. The ideal person will have a solid background in these areas and will also be interested in expanding as necessary:
Language Skills: Ability to read, write, speak and understand English. Ability to respond to common inquiries or complaints from customers and employees. Ability to communicate one-on-one and to groups to explain policies and procedures, and to persuade others to accept or adopt a specific opinion or action. Ability to effectively present information and/or a convincing argument to executives.
Analytical and Reasoning Ability: Ability to read, analyze and interpret financial reports. Ability to accept ambiguous circumstances and take action where answers to a problem are not readily apparent. Ability to analyze information, problems, situations, practices or procedures to: define the problem or objective, identify relevant concerns or factors, identify patterns, tendencies and relationships, formulate logical and objective conclusions, recognize alternatives and their implications. Skill in managing multi-faceted projects to a successful conclusion. Ability to multi-task.
